The following Terms and Conditions do not affect your statutory rights as a consumer. By entering into any financial transaction with Le Clos (MMI LLC) you are agreeing to our Terms and Conditions as below:
01 – Introduction
Welcome to leclos.net. These are the terms and conditions governing your access to and use of the website leclos.net and its related sub-domains, sites, services and tools (the “Site”). By accepting these terms and conditions (including the linked information herein), and by using the Site, you represent that you agree to comply with these terms and conditions with leclos.net (“we”, “us” or “leclos.net”) in relation to your use of the Site (the “User Agreement”). This User Agreement is effective upon acceptance. If you do not agree to be bound by this User Agreement please do not access, register with or use this Site. Before you may become or continue as a member of the Site, you must read, agree with and accept this User Agreement and the leclos.net Privacy Policy (the “Privacy Policy”). You should read this User Agreement and the Privacy Policy and access and read all further linked information referred to in this User Agreement, as such information contains further terms and conditions that apply to you as a user of Leclos.net. Such linked information including but not limited to the Privacy Policy is hereby incorporated by reference into this User Agreement.
02 – Eligibility for engagement and shopping
leclos.net wishes to ensure that its customers are able to form legally binding contracts and further that minors do not purchase unsuitable content. Therefore persons under the age of 21 years cannot purchase from the site. Without prejudice to any other rights and remedies of leclos.net under this User Agreement or at law, leclos.net reserves the right to limit or withdraw access to the Site or the of any person if leclos.net believes that person is under the age of 21 years or not legally allowed to consume alcohol in their country of residence. Further, if you are registering as a business entity, you represent that you have the authority to bind that entity to this User Agreement and that you and the business entity will comply with all applicable laws relating to online trading. No person or business entity may register on the Site more than once.
03 – Your Account and Registration Obligations
When you register on the Site you have been or will be required to provide certain information and register a username and password for use on this Site.
On registering on the Site, you agree:
You are responsible for maintaining the confidentiality of, and restricting access to and use of, your account and password, and accept responsibility for all activities that occur under your account and password. You agree to immediately notify leclos.net of any unauthorized use of your password or account or any other breach of security. In no event will leclos.net be liable for any direct, indirect or consequential loss or loss of profits, goodwill or damage whatsoever resulting from the disclosure of your username and/or password. You may not use another person’s account at any time, without the express permission of the account holder. You agree to reimburse leclos.net for any improper, unauthorized or illegal use of your account by you or by any person obtaining access to the Site, services or otherwise by using your designated username and password, whether or not you authorized such access.
You will provide true, accurate, current and complete information about yourself as prompted by the leclos.net registration form (the “Registration Data”).
You will maintain and promptly update your Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete or if leclos.net has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with this User Agreement, without prejudice to any other rights and remedies of leclos.net under this User Agreement or at law, leclos.net has the right to indefinitely suspend, limit or withdraw your access to the Site and/or your membership of the Site.
leclos.net may (in its sole discretion and at any time), make any inquiries it considers necessary (whether directly or through a third party), and request that you provide it with further information or documentation, including without limitation to verify your identity and/or ownership of your financial instruments. Without limiting the foregoing, if you are a business entity or registered on behalf of a business entity such information or documentation may include your trade license, other incorporation documents and/or documentation showing any person’s authority to act on your behalf. You agree to provide any information and/or documentation to leclos.net upon such requests. You acknowledge and agree that if you do not, leclos.net without liability may limit, suspend or withdraw your access to the Site and/or your membership of the Site. We also reserve the right to cancel unconfirmed / unverified accounts or accounts that have been inactive for a long time.
04 – Amendments to this User Agreement
You acknowledge and agree that leclos.net shall endeavour to give you notice for any amendment to this User Agreement that materially increases your obligations or decreases your rights under the User Agreement (“Substantial Amendment”) in accordance with the terms of this User Agreement. You acknowledge and agree that leclos.net at its sole discretion and without liability may make amendments that are not Substantial Amendments without your further specific agreement at any time with immediate effect by posting a notice of the amendment on the Site.
05 – Protecting Your Security & Age Verification
You agree that we may use personal information provided by you in order to conduct appropriate anti-fraud checks and to confirm you are of legal age if purchasing alcohol. Personal Information that you provide may be disclosed to a credit reference or fraud prevention agency, which may keep a record of that information.
We will not sell to anyone who is not 21 years of age or over, as the law requires. To ensure that your credit, debit or charge card is not being used without your consent, we will validate name, address and other personal information supplied by you during the order process against appropriate third party databases. By accepting these terms and conditions you consent to such checks being made. In performing these checks personal information provided by you may be disclosed to a registered Credit Reference Agency which may keep a record of that information. Be assured that this is done only to confirm your identity, and that your credit rating will be unaffected.
06 – Prices
Any price or price list provided to you is for information and guidance purposes only and may contain discrepancies. It does not represent an offer to sell at the stated price and the prices are not legally binding to us.
All prices and price lists in relation to your account are strictly confidential and must not be disclosed to any third parties. Quotations given for orders are valid for 7 days from the date of the quotation and are non-transferrable. Prices are subject to change without prior notice and pricing and will be reviewed at least once per year.
07 – Orders
When you have completed your order you will be sent an e-mail confirming your order. It will state what the products/services are, the cost, delivery and invoice details. If your order has been unsuccessful you will be made aware of the reason why and any possible explanations. The placing of an order anywhere on our website does not constitute a contract, which is made only when we accept your order and process payment. We reserve the right not to accept any order. The products are not sold on a sale or return or exchange basis.
08 – Availability
If for any reason beyond our control, we are unable to supply a particular product, we will notify you as soon as possible. Goods are available on a first come, first served basis and we are not liable if we are unable to supply a particular product. You will not be charged should stocks become exhausted and will be notified within 24 hours where possible of such and offered an alternative choice. Should you have been charged already, a refund for the part not in stock shall be applied.
- Product Changes
Suppliers may change bottle type, size, vintage and labeling at any point with no prior notice. Whilst we endeavour to ensure all images are correct and up to date on the website we cannot guarantee the bottle type, size, vintage and labeling when a product undergoes a change or changes.
09 – Special Offers
Any special offers are made available only whilst stocks last on a first come first serve basis and may be withdrawn at any time, without notice.
10 – Payment Terms
You can pay for Products purchased from Le Clos (MMI LLC) by using any of the following debit cards: Visa, Mastercard, Visa Debit, Visa Electron and Maestro/Switch, American Express, Union Pay.
You must give us authority for payment at the time of order and all card holders will be subject to validation checks and authorization by the card issuer. We will not deliver any Products prior to these checks and authorizations being completed. If your card issuer refuses to authorize payment to us, we cannot accept your order, and will not be liable for any delay or non-delivery. Payments may be made by way of a bank transfer which is the preferred option for corporate and / or third party delivery orders.
11 – Returns & Refunds
Damaged or faulty goods – Le Clos (MMI LLC)) will provide a replacement, credit or full refund on the rare occasions a breakage occurs or for products that are faulty on a case by case basis. We must be notified of damaged or faulty products within 3 working days of receipt. We may require the faulty products to be returned to us so please keep all the original packing. In order to process a refund or replacement due to damage or breakage, a clear photograph(s) of the damaged goods will need to be provided.
Le Clos endeavors to provide all products in an optimal condition with due diligence completed at all points in the purchase and logistics chain. Products (wines and spirits) over 10 years are offered on a sold as seen basis and all refunds are solely at management’s discretion.
12 – Cancellation of Services
We reserve the right to terminate you using our services at any time, for whatever we consider misappropriate or improper use or not abiding by these terms and conditions. You will be informed of such termination in writing.
13 – Social Media Policy
Le Clos (MMI LLC)) engage in the use social media for our customers who enjoy using these channels. Should you wish to contact the company regarding any orders or any product enquiries please contact us either via telephone or email as there may be delays on any enquiries posted on social media as these are used primarily as marketing information channels. Please note Le Clos (MMI LLC)) social media is monitored. Any comments or posts should be within the recommended guidelines. Any comments or posts that are deemed inappropriate, slanderous or abusive, either directed at other customers, other social media users, Le Clos (MMI LLC)) and staff or agents thereof or not, will be recorded and may result in legal proceedings. Le Clos (MMI LLC)) engage in the use social media for our customers who enjoy using these channels. 14 – Withdrawal of Access and/or Membership
Without prejudice to any other rights and remedies of leclos.net under this User Agreement or at law or otherwise, leclos.net may limit, suspend or withdraw your access to the Site at any time, without notice, for any reason, including without limitation, breach of this User Agreement.
15 – No Warranty
leclos.net provides the Site and its services on an “as is” and “as available” basis without any representation or endorsement made and without any warranty or guarantee of any kind whether express or implied, including but not limited to warranties of title, merchantability, fitness for a particular purpose, compatibility, security, accuracy and non-infringement. Leclos.net makes no representations or warranties about the accuracy, reliability, or completeness of any content, information, software, text, graphics, links or communications provided on or through the use of the Site or that the operation of the Site will be error free and/or uninterrupted. leclos.net makes no warranty that defects will be corrected or that the Site or its servers are free of viruses or anything else which may be harmful or destructive. The nature of Internet communications means that this Site may be susceptible to data corruption, interception, non-availability and delays. The Site may also be unavailable from time to time due to repairs, maintenance or development work. You agree that leclos.net has no obligation to provide support for the Site. Alternatively, we may give you notice by mail or prepaid shipping to the address provided to us during the registration process. In such case, notice shall be deemed given 7 days after the date of mailing.
16 – Governing Law
This User Agreement is governed by, and construed in accordance with, UAE law. This clause will survive any expiry or cancellation of this User Agreement for any reason.
